GO Digital Terms and Conditions

If you choose to include the GO Digital Advertising Service in your order form, these supplementary terms will become applicable, in addition to our Master License Terms and Conditions Agreement ("Agreement"). By adding this service to your order, you consent to adhere to both the general terms outlined in the Agreement and these specific terms related to the Program. Should there be any discrepancies between the Program-specific terms and the Agreement, the terms outlined for the Program will take precedence.

Term

a.  The Parties shall make commercially reasonable efforts to have the Services commence on the Service Start Date as set forth on the Order Form. 


b.     The initial term of this Addendum shall be twelve (12) months from the Service Start Date (the “Initial Term”). After the Initial Term, this agreement will automatically renew for an additional 12-month term (Regular Term) unless either party provides written notice of their intent not to renew at least thirty (30) days before the end of the term.  

Fees

a.  CIENCE shall charge, and Customer shall pay, fees for the Services as set forth in the Order Form (the “Service Fees”).


b.   Go Digital Payment Schedule. Customer shall pay CIENCE for the Initial Term in a single payment that must be received by the date listed on the order form.. Subsequent payments for Regular Terms are due and payable on the next day following the end of the last paid period of service. Such Fees shall be payable via an automatic withdrawal from a Customer account. If payment for the Initial Term is not received as set forth in this Section, CIENCE reserves the right to move the Service Start Date based on CIENCE's operational availability to a date after payment is received. Late payments, or unpaid amounts are subject to a finance charge of 2% on the late or unpaid amounts.  CIENCE will have a defined fee of 20% of the Customer’s total digital advertising spend.


c. GO Digital Management Fee. For the provision of the GO Digital Advertising Service, CIENCE shall charge a Go Digital Management fee (“Management Fee” ) which is billed independently of any other software or services purchased from CIENCE.  Such Fees shall be payable via an automatic withdrawal from a Customer account. 

Place of Performance

CIENCE will perform all work for the Customer at CIENCE’s own facilities or using remote staff. Customer can request online meetings with CIENCE's Account Team.

Scope of Work

GO Digital Services

As part of the GO Digital Services, CIENCE will offer a comprehensive suite of services under the Management Fee, encompassing the following:

1. Target Audience Development: CIENCE will develop targeted audiences as part of GO Digital. This includes identifying and defining the specific demographics, interests, and behaviors of potential customers to maximize the effectiveness of the advertising campaigns.

2.Strategy Implementation: CIENCE will undertake the definition, documentation, and implementation of an integrated paid marketing strategy. This strategy will guide the overall approach for the digital advertising campaigns, ensuring alignment with the client's business goals and objectives.

3. Advertising Display Channels: CIENCE will select appropriate advertising display channels. The primary channels include LinkedIn Ads, Twitter Ads, and Google Search. However, options may also encompass other platforms like Facebook or the public web through a Demand Side Platform. CIENCE is responsible for managing all aspects of these channels, including selecting audiences, setting frequency, and devising bidding strategies.

4. Conversion Rate Optimization: CIENCE will create and test different Landing Page experiments aimed at generating more qualified leads. This includes optimizing the design, content, and user experience of the landing pages to improve conversion rates from the advertising campaigns.

5. Creative Services: CIENCE offers comprehensive creative services, which include the creation of both copy and design for all display advertising inventory. Clients have the option to develop their advertising inventory independently, but these creative services are included within the Management Fee, offering a streamlined and integrated solution.

6. Landing Page Services: In addition to creative services for ads, CIENCE provides full-service creation of landing pages. This service includes copywriting, design, and website building tailored to the digital advertising campaigns. Clients may opt to use their existing landing pages or build new ones independently, but the provision of these landing page services is a key component of the Management Fee.

7. Reporting and Analytics: CIENCE will provide comprehensive reporting on key performance indicators such as impressions, clicks, and click-through rates (CTR). This will allow for continuous monitoring and optimization of the advertising campaigns, ensuring maximum impact and ROI.

Deliverables

a.  Deliverables for the GO Digital  services are as follows:

  • Creation and optimization of one Landing Page for the campaign (if additional landing pages are needed they can be created by CIENCE with additional hours charged at $125/hr)
  • Creation of up to 6 ads per campaign with creative services
  • Reporting on impressions, clicks, and click through rates (CTR)
  • Execution of media spend within clients' approved and mutually agreed upon campaign strategy, channels, and creatives

Set-Up & Kick-Off Responsibilities

  • Customer to provide CIENCE with ads they would like to utilize or create ads based off of
  • CIENCE to create ads or Customer to provide CIENCE with ads to be utilized as part of the campaign
  • Customer and CIENCE to align on the approved strategy
  • Customer and CIENCE to agree on where the ads direct a customer if clicked on
  • CIENCE to coordinate with GO Outbound, GO Data, GO Custom services to ensure coordination of efforts
  • Customer to provide CIENCE with a main point of contact for communication purposes

 

Account Access and Permissions:

  • Customer to provide login credentials for LinkedIn, Google Ads and Twitter Ads accounts
  • Customer to provide access and appropriate permission levels for collaboration

 

Data Acquisition and Analysis:

  • Customer to provide existing marketing data, analytics reports, and customer insights (this can be part of a strategy session with CIENCE and the customer)
  • CIENCE to conduct website audits and competitor analysis for each platform
  • CIENCE to analyze target audience demographics, interests and online behavior (GO Data to support)

 

Campaign Development and Strategy

  • Customer and CIENCE to define specific campaign goals and KPIs for each platform based on agreed-upon objectives
  • Customer and CIENCE to develop keyword research strategies for Google Search, targeting audiences for LinkedIn Ads, and defining campaign themes for Twitter Ads.
  • CIENCE to create ad copy variations for each platform, based on audience personas and messaging preferences of the Customer.

 

Platform Setup and Implementation

  • CIENCE to build and configure targeted campaigns across each platform using the gathered data and strategic insights.
  • CIENCE to establish and share conversion tracking mechanisms to measure campaign performance
  • Customer and CIENCE to set competitive bids and budgets based on initial research and industry benchmarks.

Out-of-Pocket Expenses/Invoice Procedures

Customer will not be charged any out-of-pocket expenses, except for those stated on the Order Form, or as mutually agreed between the Parties in writing. Invoices shall be submitted as described in the Order Form via CIENCE’s subscription billing system prior to the first day of the Initial Term. Invoices are due upon receipt and payable in accordance with the Order Form and the Terms and Conditions
